Paragraph (1)_introduction Today, …. Of Month Year the following entities:

Your name here and surname, profession here, resident of Canada, Montreal (….. …ADRESS HERE…………….). From now on we will mention <Partner B>

Company <9478-9161 Québec inc>, 3520 Coloniale H2X 2Y4, from now on mentioned as Company. The Company owns the brand names <Experienced Handymen>, <Experienced Handyman>, <Experienced Handywomen>, <Experienced Handywoman>, <Dean Justdean> and the domain name: <www.justdean.org>. From now on we will mention this entity as <Company>. The <Company> is represented legally by the <Partner A>.
Agreed to unite their efforts, physically and mentally and work together for a common cause:

To expand the Company throughout Canada and make the Company popular in serving Canadians in their daily needs in handyman services.

To ensure the financially prosperity of the Company. To develop the Company whenever is needed with more personnel, and wealthier in equipment and own properties.
The cooperation starts from the day and time of signing this Contract from the parties, as mentioned above: <Partner A>, <Partner B> and <Company>.
Paragraph (2)_rules The obligations that the above-mentioned entities will have to validate, after this contract is signed are:

<Partner B> has not the right to work individually without involving the <Company>. For example, he has not the right to paint a house and not mention to the owner of the house that he is representing the Company that he will be paid through the <Company>. Through the <Company> the owner of the house will receive electronic invoice or receipt for the payment of the work that is to be done. <Partner B> will always represent the <Company> and will work behalf the <Company>. <Partner B> is forbitten to work for other company or organization with or without contract.

<Partner B>, will represent the Company on every occasion and on any working day. His business cards, promotion leaflets, Car banners, invoices, etc must have the logo and the brand name of the Company. Any other brand name or logo different than the Company’s are strictly forbitten. <Partner B> will continue working through his own clients but he will clearly declare to them that he is working representing the Company. <Partner B> can not hire any worker to assist him without involving the <Company>.

<Partner B> will not receive any salary from the company. <Partner B> will be paid through the Company. <Partner B> must inform all his clients that they are not his clients anymore but there are clients of the Company. The clients shall pay the Company for his work and the Company will receive the payment behalf <Partner B>, will send the receipt to the clients and as soon as possible the Company will deposit the amount paid to the bank account of <Partner B>. (Quick books usually takes 2-3 days to send the money to the bank account of the Company). <Partner B> has the right to receive cash from the clients. But always he must declare the amount to the Company to send to the client the receipt.

Taxes_accounting <Partner B> is not allowed to work black, without adding taxes at the cost of his work and without releasing sales receipt for the clients. The amount of taxes will be kept from the company and with that money the company will pay the taxes to the Revenue Quebec. Expenses that have to do with the Company (e.g. accounting, cost of domain name, advertising, maintenance of the Company’s assets etc) will be covered by all Partners, A, B, relatively of their participation to the Company. <Partner A> owns 100% of the Company’s shares. So <Partner A> will cover that cost. After twelve months of smooth and reasonable cooperation <Partner A> will grant free 5% of the Company’s shares to <Partner B>. From then and after <Partner B> will contribute to the Company’s regular expenses to 5%.
Paragraph 3_social media. <Contractor B> must be active on social media on a daily basis if possible. He must take pictures of each project he works individually and after accomplishing the project must create a photo album at his Facebook account and publish that album as “public” and send a link of that album to the company. So, the Company will publish his work on the website www.justdean.org. <Contractor B> will support the company with 5 video clips showing him working on a construction project. The Company can publish these 5 video clips on the web www.justdean.org.
Paragraph 4_advantages. <Partner B> will have the following advantages by his participation to the Company:

Will grant free a business email in format name@justdean.org

Will work with the prestige of being member of the <Company>.

The company will recommend his work to the <Company>’s clients.

After twelve months of successful cooperation <Partner A> will grant 5% of the Company’s shares to the <Partner B>.

The <Company> has not the right to cooperate with more than 9 Individuals. So, 9 x 5% = 45%. The rest 55% will be kept as shares for <Partner A> who is the founder and lifetime president of the Company.

Equipment that is owned by the <Company> can be lent to the <Partner B>.

As a big team we can all now target big projects which has huge profits.

<Partner A> has not the right to cooperate with more than 9 individuals. <Partner A> has not the right to sell the shares of the Company he owns without the agreement of all the rest 9 <Partners>.

<Partner A> is restricted from the time to find those 9 Partners for the Company to grand to them the 5% of the shares to each of them. If 3 years passes and <Partner A> has not fount yet Partners for the Company, then 45% of the Company shares has to be granted to the Partner(s) that <Partner A> has already fount.
Paragraph 5_penalties. In case of misunderstanding and misfire, these articles are in charge:

<Partner A> is not obliged to accomplish his promises to <Partner B> if any of the above articles has been violated from <Partner B>.

Any problem and misunderstanding will be solved through the Canadian justice.
